Walter Van Dorn is a Partner at SNR Denton US LLP in New York. He advises issuers, underwriters and financial institutions on domestic and international capital market transactions such as SEC-registered public offerings of both equity and debt securities (including sovereign debt), securities offerings under Rule 144A and Regulation S, mergers and acquisitions, the creation and maintenance of ADR and GDR programs and other corporate matters. In addition, Mr. Van Dorn advises clients on all aspects of the U.S. securities laws, including the Securities Act and the Exchange Act, as well as investment company and investment advisory matters and broker-dealer regulation. He has practiced as a securities lawyer in London, Hong Kong and Washington, and his clients include financial services, industrial and technology companies around the world. Prior to entering private practice, Mr. Van Dorn was Special Counsel in the Office of International Corporate Finance at the SEC in Washington, D.C. His areas of responsibility included offerings of equity securities and ADRs, offerings of debt securities by both corporate and government issuers, and mergers and acquisitions involving non-U.S. companies. He also participated in rule-making initiatives such as those amending Regulation S as well as those exempting certain cross-border tender and exchange offers and rights offerings from Securities Act registration requirements and from Exchange Act tender offer rules.
